She has extensive transactional tax experience, including domestic and cross-border reorganizations, financings, mergers and acquisitions, spin-off transactions and securities transactions. Siobhan has regularly advised on flow-through limited partnership offerings for the resource industry.

Acted for Roman Corporation with respect to an application under the Companies' Creditors Arrangement Act for protection in January 2006. Following the application, the assets were sold to Forest Resources LLC.
Acted as Canadian counsel to Citigroup Global Markets Inc. in connection with an underwritten private placement offering by Quebecor Media Inc. in the US and Canada of US$525 million of 7 3/4% senior notes due 2016, issued as part of Quebecor Media's US$1.1 billion refinancing plan.
Acted for BCE Inc. in the sale of its subsidiary Telesat Canada to Public Sector Pension Investment Board and Loral Space & Communications Inc. in a transaction valued at $3.42 billion.
Acted for BMO Nesbitt Burns Inc. and a syndicate of lenders in connection with its $756-million financing of the Canaport liquefied natural gas (LNG) receiving and regasification terminal in New Brunswick. The facility is the first LNG regasification plant in Canada.
Acted for Michaels Stores Inc. on the acquisition by Bain Capital Partners LLC and the Blackstone Group in a transaction valued at US$6 billion.
Acted for Agricore United in its Secured Term B financing of $150 million with a syndicate of lenders headed by Scotia Bank to refinance an existing term loan and fund a new US acquisition.
Acted for RBC Dominion Securities Inc., TD Securities Inc. and the underwriting syndicate in the $133-million initial public offering by Gluskin Sheff + Associates Inc. by way of secondary offering.
Acted for Trizec Canada Inc. and as Canadian counsel to Trizec Properties, Inc., one of the largest publicly traded REITs in the United States (and 38% owned by Trizec Canada), in their strategic auction, ultimately culminating in Brookfield Properties Corporation acquiring Trizec Canada in an all-cash plan of arrangement and Trizec Properties in a parallel US cash-out merger. The combined transaction was valued at US$8.9 billion.
Acted for private equity firm Birch Hill Equity Partners in the acquisition by Birch Hill Equity Partners III, LP of the assets of Bio Agri Mix LP.

Siobhan is a contributing author to the book Tax Policy in Canada (Canadian Tax Foundation, 2012). She is a co-author of the textbook Taxation of Corporate Reorganizations (Carswell, 2010) and the chapter on Canada in International Stock Plans: The Practitioner's Guide, published by NASPP and available to members at www.NASPP.com.
Siobhan was the co-recipient of the Canadian Tax Foundation's Douglas J. Sherbaniuk Distinguished Writing Award (1996) for "Today's Butterfly", a paper delivered at the Foundation's annual conference. She has also written regularly on tax issues for publication in journals.
