Elias Benhamou

Elias Benhamou is a partner in the Banking and Commercial Real Estate practices. His practice focuses principally on secured (syndicated) lending, structured financing and asset-based lending, on behalf of borrowers and lenders, as well as on commercial real estate acquisitions, development, construction and leasing. The balance of his practice consists of diverse commercial transactions such as joint ventures, private mergers and acquisitions. In addition, he is the coordinator of the Montréal office’s Commercial Real Estate/Secured Lending practice group and chairs the firm’s committees on opinions, and space planning.

Elias has implemented secured financings in connection with several large merger and acquisition transactions and takeovers and in connection with acquisitions of mortgage and real estate portfolios across Canada.

Representative Work

  • Acted for Industrial Alliance Insurance and Financial Services Inc. and a major financial partner in the acquisition of the building located at 2020 University Street in Montréal, Québec.

  • Acted for Bank of Montreal, Canadian Imperial Bank of Commerce and JPMorgan Chase Bank and a syndicate of nine banks in connection with an amended and restated US$800-million revolving credit facility agreement with Gildan Activewear Inc.

  • Acted for Novacap Industries III, L.P., a leading Canadian private equity and venture fund, in connection with its US$87-million acquisition of Idaho Pacific Holdings, Inc. and its Canadian and U.S. subsidiaries.

  • Acted for Industrial Alliance Insurance and Financial Services, Inc. which with a major financial partner each acquired a 50% interest from SITQ National Inc. in the building located at 1981 McGill College Avenue in Montréal, Québec.

  • Acted for Cominar Real Estate Investment Trust in its acquisition of SITQ's interest in the building located at 2001 McGill College Avenue in Montréal, Québec in a deal valued at $165 million.

  • Acted for Mirlaw Investments Ltd. in the sale of Complex Place Crémazie located in Montréal to 9197-3586 Québec Inc.

  • Acted for Cominar Real Estate Investment Trust in its $592-million acquisition of 6.5 million square feet of office and industrial properties from Homburg Invest Inc., representing approximately 72% of the leasable space acquired by Homburg in its purchase of Alexis Nihon REIT.

  • Acted for Cominar Real Estate Investment Trust in its acquisition of the assets of Alexis Nihon Real Estate Investment Trust in a transaction valued at $440 million.

  • Acting for Canadian Tire Real Estate Limited in connection with its acquisitions, dispositions, leasing and development of properties in the province of Québec.

  • Acted for Jesta Capital Corp. with respect to its acquisition, in association with Pur Immobilia, of the building and land of the Viger station in the east end of Old Montreal.

  • Acted for the purchasers in their acquisition of the Hilton Montréal Airport Hotel at the Pierre-Elliott Trudeau International Airport.

  • Acted for the purchasers in their acquisition of the luxury boutique Hotel Gault in Old Montréal.

  • Acted for Amot Investments Canada Ltd. in its purchase and financing of a 50% interest in the E-Commerce Complex Phase I and for the owners in the disposition thereof to KanAm Grund Kapitalanlagegesellschaft mbh.

  • Acted for Hôtel Cadim (Godin) Inc. and Hotels Incognita Inc. in the sale of Hôtel Godin (now Hôtel Opus) to Trilogy Properties (Godin) Corporation.

  • Acted for the Royal Bank of Canada with respect to the investment in Maxi Poultry Co. Ltd. by Chicago-based Lake Pacific Partners.

  • Acted for MethylGene Inc. in connection with the entering into of a Collaborative Research, Development and Commercialization Agreement for its histone deacetylase (HDAC) inhibitors with Pharmion Corporation in North America, Europe, the Middle East and certain other markets. This transaction was valued at up to US$272 million and was thought to be the largest early stage biotechnology pact in Canada. As part of the transaction, Pharmion subscribed for US$5 million of MethylGene common shares.
